Affiliate Agreement

About This Agreement

This Affiliate Agreement is between WebGrid.Studio, which makes and operates OMG (Oh My Garden), and you. It applies when you join the OMG affiliate program from your OMG account, and it sits alongside the OMG Terms & Conditions and Privacy Policy. By applying, you confirm you have read and accept it.

Who Can Join

• You must be at least 18 years old and hold an OMG account.
• You must give your real legal name, address and tax details, and keep them up to date.
• If you are resident in India, you must have a valid PAN. If you are resident elsewhere, you must be legally able to receive payments for this kind of work where you live.
• Each person or business may have one affiliate profile.

We review every application and may approve or decline it at our discretion.

Your Code and Your Link

You choose your own referral code when you apply. Your link is ohmygarden.in/?ref= followed by your code. Your code starts working only once your application is approved. We may refuse or change a code that is misleading, offensive, or uses someone else's name or brand, and we will tell you if we do.

How Referrals Are Counted

A person counts as your referral when, before their first payment to OMG, they:

• create an OMG account with your code entered, or
• create an account or start a purchase after following your link (remembered on their device for 90 days), or
• enter your code during checkout.

The first code a person uses is the one that counts; a later code does not replace it. Your own account, and anyone who was already a paying OMG customer, cannot become your referral. Our records decide who is referred, and we will correct genuine errors you point out.

Commission

• ₹100 when a person you referred makes their first subscription payment.
• ₹20 for each later monthly renewal they pay, for as long as they stay subscribed and you remain an approved affiliate.

Commission is earned only on payments OMG actually receives, whether on the website or through an app store. We may change these rates by giving you 30 days' notice; a change never applies to commission already earned.

Holding Period, Refunds and Chargebacks

Commission is held for 16 days after the payment it comes from. If that payment is refunded or charged back, the commission is cancelled; if it was already paid to you, the same amount is deducted from your future commission.

Payouts

• When at least ₹500 of your commission has cleared the holding period, you can request a payout from your affiliate page. We pay each request within 10 working days. A smaller balance stays in your account until it reaches ₹500.
• A payout covers all commission that has cleared by the time we pay it, which may be more than the amount shown when you asked.
• In India we pay in rupees to the UPI ID or bank account you give us.
• Outside India we pay by international bank transfer, Wise or PayPal. Amounts are calculated in rupees and converted by the payment provider; any transfer or conversion fees may be deducted.
• Before your first payout we verify your details: in India your PAN, with the Income Tax Department, using the name and date of birth you give us; everywhere, that the account you are paid into is in your name. We may hold a payout until this is done.
• You must keep your payout details correct. A payment made to the details you gave us counts as paid.

Taxes

You are responsible for your own taxes. Where Indian law requires it, we deduct tax at source (TDS) from your commission, currently under Section 194H, at a higher rate if a valid PAN is not available, and we issue the certificate the law requires. If you are registered for GST, give us your GSTIN; you may need to send us a valid tax invoice before we pay. For affiliates outside India we may withhold tax as Indian law requires and may ask for documents such as a tax residency certificate.

How You May Promote OMG

• Be honest and accurate about what OMG does.
• Clearly disclose that you are an affiliate and may earn commission, every time you share your code or link (for example "Affiliate link" or "#ad"), as the Advertising Standards Council of India guidelines, India's consumer protection rules and the laws where you publish require.
• Follow the rules of every platform you use and every law that applies to your promotion, including laws on unsolicited messages.

What Is Not Allowed

• Referring yourself, creating accounts for other people, or using fake or duplicate accounts.
• Bidding on "Oh My Garden", "OMG", our domain names or close misspellings in paid search or app-store ads, or using them in your own domain names, app names or social handles.
• Pretending to be OMG, or suggesting that you speak for us.
• Misleading claims, such as promising results, inventing discounts, or saying OMG is free when it is not.
• Cookie stuffing, forced or hidden clicks, pop-ups, or paying or rewarding people to sign up without our written approval.
• Posting your code on coupon or deal sites without our written approval.
• Spam, or promoting OMG next to content that is illegal, hateful, violent or sexually explicit.

Commission that comes from any of these is not owed, and we may recover it.

Our Name and Brand

While you are an approved affiliate we give you a limited, revocable right to use the OMG name and the materials we provide, only to promote OMG under this agreement. Do not change our logo or create new brand assets.

Your Information

We collect your legal, tax and payout details to verify you, pay you and meet our tax and legal obligations. We handle them as our Privacy Policy describes, show you only masked copies of sensitive numbers, and keep payment records for as long as tax law requires.

Independent Relationship

You take part as an independent contractor. Nothing in this agreement makes you our employee, partner or agent, and you may not make promises or commitments on our behalf.

Suspension and Ending

You may leave the program at any time by writing to us. We may suspend or end your participation at any time, and immediately if you break this agreement or we suspect fraud. When it ends you may still request any cleared commission, and we pay it as described above, unless it ended because of a breach or fraud, in which case unpaid commission is forfeited.

Liability

To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability to you under this agreement is limited to the commission owed to you for the three months before the claim.

Changes

We may update this agreement. We will tell you by email or on your affiliate page, with the "Effective date" updated. If you keep taking part after a change takes effect, you accept the updated agreement; if you do not agree, you may leave the program.

Governing Law

This agreement is governed by the laws of India, and the courts at Bengaluru, Karnataka have jurisdiction.
